1. Scope of Application
These General Terms and Conditions (GTC) apply to all business relationships between Autofiles (hereinafter referred to as the “Provider”) and registered users (hereinafter referred to as the “Customer”).
By registering, using the platform, or ordering digital files or services, the Customer agrees to these terms.
The offer is directed exclusively at business customers, workshops, tuners, and resellers. Private consumers as defined in §13 BGB (German Civil Code) are excluded.

2. Subject of Service
Autofiles operates a professional file service platform for editing, customizing, and providing ECU and TCU software files for vehicles.
The services include the delivery of tuning files, repair or solution files (e.g., DPF OFF, EGR OFF, AdBlue OFF, DTC OFF, Stage-Files), and other software-related technical adjustments.
All services are strictly intended for qualified professionals with appropriate technical expertise.
No guarantee is given for specific performance increases, compatibility, or vehicle functionality.

3. Conclusion of Contract
(1) The presentation of services on the platform does not constitute a legally binding offer.
(2) By uploading an original file (“ORI”) and selecting the desired options, the Customer submits a binding order.
(3) The contract is concluded once the Provider confirms the order or delivers the modified file (“MOD”).
(4) The Provider reserves the right to reject orders at any time, particularly in cases of misuse or violation of these terms.

4. Prices and Payment Terms
(1) All prices are stated in euros and are subject to the applicable VAT unless otherwise indicated.
(2) Payments are made through the integrated credit system, prepayment, or online payment services (e.g., Stripe, PayPal – if available).
(3) Purchased credits are non-refundable and non-transferable.
(4) Orders are processed only after successful payment or credit deduction.
(5) In case of payment default or misuse, the Provider reserves the right to temporarily or permanently suspend access.

5. Delivery and Processing Time
(1) Digital files are generally delivered automatically within a few minutes after payment.
(2) Processing times may vary depending on file size, server load, or manual review.
(3) The Provider accepts no liability for delays caused by technical problems, maintenance work, or data transmission issues.

6. Usage Rights and Copyright
(1) All delivered files, software components, and content remain the intellectual property of the Provider.
(2) The Customer receives a non-exclusive, non-transferable license to use the file solely for the specified vehicle.
(3) Any sharing, duplication, publication, or resale of provided files without written permission is prohibited.
(4) Violations will result in immediate revocation of the license and may lead to legal action.

7. Disclaimer of Liability
(1) The use, installation, and application of the delivered files are at the Customer’s own risk.
(2) The Provider assumes no liability for damage to the engine, transmission, control units, or any other vehicle components caused by improper installation, use, or operation on public roads.
(3) The Customer acknowledges that such software modifications may void the vehicle’s type approval and insurance coverage.
(4) The Provider’s liability is limited to intent and gross negligence. Liability for consequential damages, loss of profit, or data loss is excluded.

8. Warranty and Support
(1) As digital goods are provided, there is no right of return or refund.
(2) If a file is defective or non-functional, the Provider may, at its discretion, offer a correction or replacement.
(3) Warranty is provided only for original files that remain unmodified and are used for the designated control unit.
(4) Any modification, tampering, or third-party alteration voids all warranty claims.
(5) Technical support is provided via email or ticket system during regular business hours only.

9. Right of Withdrawal
As the services consist of digital content not supplied on a physical medium, the right of withdrawal expires in accordance with §356 (5) BGB once processing has begun or the file has been delivered.

10. Data Protection
(1) The processing of personal data is carried out exclusively in accordance with the EU General Data Protection Regulation (GDPR) and the Austrian Data Protection Act (DSG).
(2) All personal data is treated confidentially and used solely for contract fulfillment.

11. Accounts, Misuse, and Suspension
(1) The Customer must keep login credentials secure and not share them with third parties.
(2) Account sharing or transfer of access data is strictly prohibited.
(3) The Provider reserves the right to temporarily or permanently suspend access in cases of suspected misuse or breach of these terms.

12. Final Provisions
(1) Austrian law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
(2) The place of jurisdiction is Eisenstadt, Austria.
(3) If any provision of these GTC is found invalid, the remaining provisions shall remain unaffected.
(4) The invalid clause shall be replaced by one that most closely reflects the original intent in economic terms.
